12.1 Adstream shall not be liable to the Customer for any delay in performing, or failure to perform, its obligations under these Conditions to the extent that such delay or failure is caused by a Force Majeure Event.
12.2 Adstream’s performance under the Agreement is deemed to be suspended for the period that the Force Majeure Event continues, and Adstream will have an extension of time for performance for the duration of that period.
12.3 Notwithstanding clause 12.1, each Party shall use all reasonable endeavours to continue to perform its obligations under these Conditions for the duration of such Force Majeure Event. However, if such Force Majeure Event prevents Adstream from performing its material obligations under these Conditions for a period in excess of one hundred and twenty (120) calendar days, either Party may terminate these Conditions with immediate effect by notice in writing to the other Party.
